Patron Terms of Service
Strait Up LLC · Patrons
Effective Date: August 14, 2026. These Patron Terms of Service (the “Terms”) govern your use of the platform
operated by Strait Up LLC, a Wyoming limited liability company (“Strait Up,” “we,” “us”). By creating an
account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
1. Eligibility
You must be at least 21 years old to use the Platform. You represent that you can form a binding contract
and that information you provide is accurate. We may request proof of identity or age.
2. Your Account
Keep your information accurate and your password confidential; notify us of unauthorized access; you are
responsible for activity under your account. We may suspend or terminate accounts for fraud, abuse,
impersonation, ratings manipulation, or breach of these Terms, without compensation.
3. Acceptable Use & Community Standards
Use the Platform lawfully and respectfully. Prohibited: impersonation; false information; unlawful, obscene,
or hateful material; harassment, threats, bullying, or discrimination; hacking or interfering with the Platform;
malware; scraping; manipulating ratings; multiple or fake accounts; unauthorized bots. Violations may result
in immediate removal.
4. Ratings, Reviews & the Competition
Ratings must reflect your genuine personal experience. Ratings feed the monthly competition, “Best
Bartender in [Town],” and its live Standings. Strait Up may moderate or remove any review and may exclude
any rating from Competition calculations at its sole discretion, including under anti-fraud and anti-gaming
rules (for example, duplicate accounts, rating farming, or anomalous activity). No payment to Strait Up
affects any rating or rank. You receive no compensation for rating. Competition decisions are final. Repeated
abuse of the ratings system may result in permanent suspension.
5. Your Content
You retain ownership of Content you upload and grant Strait Up a worldwide, royalty-free, sublicensable and
transferable license to host, display, reproduce, distribute, moderate, analyze, and use it to operate and
promote the Platform. You warrant you have the necessary rights, including permission from identifiable
people in photos or video where required. We may remove any Content. If you delete your account, we will
remove your Content from public display within a reasonable period, except that ratings and aggregated, deidentified data may persist to preserve the integrity of the Standings and historical Competition results.
6. Communications
By creating an account you consent to service communications, and you may opt in to marketing and
Competition notifications by email, push, or SMS. You can opt out of non-essential communications at any
time in settings or by following unsubscribe instructions. Message and data rates may apply to SMS.
7. Referral Program
Referral rewards (such as waitlist position, badges, status, or early access) are promotional, have no cash
value, are non-transferable, and may be modified or revoked for fraud, self-referral, fake accounts, or abuse,
as determined by Strait Up.
8. Privacy; AI; Third Parties
Your use is also governed by our Privacy Policy. We may use automated and AI tools to detect fake reviews
and moderate content; significant automated decisions may be reviewed by human moderators. Links to
third-party services are subject to their own terms; we are not responsible for them.
9. Intellectual Property; DMCA
All Strait Up intellectual property remains ours; these Terms transfer no ownership to you, and you must not
copy, reverse engineer, or extract data from the Platform. If you believe content on the Platform infringes
your copyright, send a notice compliant with the Digital Millennium Copyright Act to our designated agent at
[DMCA contact]; we will respond to valid notices, including removal and repeat-infringer termination where
appropriate.
10. Payments
Where paid features are offered, prices are displayed before purchase, payment is due before access,
refunds are subject to applicable law, and taxes may apply. Core patron features are currently free.
11. Alcohol Responsibility
Strait Up does not sell, serve, or facilitate the sale of alcohol, does not encourage alcohol consumption, and is
a discovery and ratings platform only. You are solely responsible for your own lawful and responsible
consumption, for complying with the drinking age and other laws, and for your conduct at venues, including
arranging safe transportation. You agree to indemnify and hold harmless Strait Up and its officers and
employees from claims arising out of your consumption of alcohol or your conduct at any venue.
12. Disclaimers; Limitation of Liability; Indemnification
The Platform is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free
operation or the accuracy of user-generated content, including ratings and venue information. To the fullest
extent permitted by law, Strait Up is not liable for indirect, incidental, special, or consequential damages, lost
profits, emotional distress, or loss of data, and where liability cannot be excluded it is limited to the greater
of amounts you paid Strait Up in the prior 12 months or $100. You will indemnify Strait Up against claims
arising from your use of the Platform, your Content, your breach of these Terms, or your violation of another
person’s rights.
13. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Connecticut without regard to conflicts rules. The parties
will first attempt to resolve disputes informally for 30 days after written notice. Except for small-claims
matters, disputes will be resolved by binding individual arbitration administered by the American Arbitration
Association under its Consumer Arbitration Rules. Class actions and class arbitrations are waived. You may
opt out of arbitration by written notice within 30 days of first accepting these Terms. If the class waiver is
unenforceable, this arbitration clause is void.
14. Changes; Acceptance; General
We may update these Terms; material changes will be notified through the Platform or by email with a new
effective date, and continued use afterward constitutes acceptance. Clicking “I Agree” at account creation is
your electronic signature. Joining the waitlist alone does not bind you to these Terms — waitlist signup is
governed only by the Privacy Policy and your consent to be contacted. If any provision is invalid, the rest
stands. We may assign these Terms in connection with a merger or sale. These Terms, together with
incorporated policies (including the Privacy Policy), are the entire agreement.
