Professional Terms of Service
Strait-Up LLC · Bartenders & Hospitality Professionals
Effective Date: August 14, 2026. These Professional Terms of Service (the “Agreement”) are
between Strait-Up LLC, a Wyoming limited liability company (“Strait-Up,” “we,” “us”), and the
professional user accessing the Strait-Up platform (“Professional User,” “you”). This Agreement
applies to bartenders, venue owners and managers, and other hospitality professionals using
professional features. By creating a professional account or claiming a professional profile you agree
to be bound by this Agreement.
1. Definitions
“Platform” means the Strait-Up website, applications, software, databases, and related services.
“Professional Profile” means a bartender or venue profile displayed on the Platform. “Ratings”
means patron-submitted ratings and reviews. “Standings” means the live leaderboard for the
monthly competition, “Best Bartender in [Town]” (the “Competition”). “Content” means material
you upload or submit.
2. Professional Accounts
You agree to provide and maintain accurate information (including employment and venue details),
keep your credentials secure, and ensure anyone acting for a business has authority to bind it.
Providing materially false information may result in removal from the Platform.
3. Profiles Are Opt-In; Claim and Removal
Bartender Professional Profiles are created or claimed by the professional. If Strait-Up publishes a
basic unclaimed listing from public information, the individual may claim it or request its removal at
any time by contacting us, and we will honor removal requests within a reasonable period. Strait-Up
owns and controls the Platform’s structure, database, rankings, and presentation; you acquire no
rights in them.
4. Free for Bartenders
Individual bartender accounts and Professional Profiles are provided free of charge. Strait-Up does
not charge bartenders fees for a basic profile, takes no share of tips or wages, and does not
condition eligibility for the Competition or the Standings on any payment. Strait-Up may offer
optional paid upgrades (such as enhanced analytics or promotional tools); declining them never
affects your basic profile or Competition eligibility. Venue and business subscriptions are separate
paid services with pricing displayed before purchase.
5. Name, Image & Likeness
You grant Strait-Up a worldwide, royalty-free license to display your name, photograph, likeness,
professional details, venue affiliation, Ratings, and Standings placement on the Platform and in
Platform-related promotion (for example, announcing Competition results). You may terminate this
license prospectively by deleting your account, except that Competition results already published
and de-identified aggregate data may persist.
6. Ratings, Reputation & Integrity
Ratings reflect patron opinions and may be positive or negative. Strait-Up may moderate, remove, or
exclude any Rating from Competition calculations at its discretion, including under its anti-fraud
rules. Ratings and Standings placement cannot be purchased — no payment to Strait-Up affects any
rank. You must not create or solicit fake or incentivized ratings, pressure or retaliate against patrons
over ratings, or manipulate the system. You may flag a Rating you believe is fraudulent or abusive
through the Platform’s dispute process; Strait-Up will review flagged Ratings and its determination is
final.
7. The Competition
The Competition runs in monthly cycles per market and ranks eligible bartenders using a weighted
methodology applied to patron Overall ratings. Strait-Up determines eligibility rules, methodology,
minimum-rating thresholds, and fraud disqualifications in its discretion, and may withhold a monthly
title where a market lacks sufficient volume. No purchase or payment is necessary to participate or
win, and none improves any outcome. Recognition (such as a featured placement) has no cash value.
Competition decisions are final. Void where prohibited. Strait-Up may publish separate Official Rules,
which are incorporated by reference.
8. Professional Conduct
You must not harass or discriminate against patrons or other users, misuse customer information,
interfere with another professional’s profile, impersonate anyone, or engage in unlawful conduct.
9. Intellectual Property; Prohibited Conduct
All Strait-Up intellectual property — software, design, trademarks, databases, ranking systems,
algorithms, and analytics — remains exclusively Strait-Up’s. You receive only a limited, revocable
right to use the Platform. You must not copy the Platform, reverse engineer or decompile it, extract
data by automated means, or interfere with security or other users.
10. Your Content
You retain ownership of Content you upload. You grant Strait-Up a worldwide, royalty-free,
sublicensable and transferable license to host, display, reproduce, distribute, moderate, analyze,
and promote that Content in operating and marketing the Platform. Strait-Up may remove Content
that violates this Agreement or its policies. Upon account deletion, Strait-Up will remove your
Content from public display within a reasonable period, except Ratings data and de-identified
aggregates may persist to preserve Platform and Competition integrity. You may request an export
of your profile Content.
11. Confidentiality
You agree not to disclose or misuse non-public Strait-Up information you access through the
Platform (such as unreleased features, analytics, or pricing). This does not restrict information that is
public, independently known, or required by law to be disclosed. This obligation survives
termination.
12. Non-Circumvention & Non-Solicitation
You must not use Strait-Up’s non-public information to build a competing service, bypass Platform
systems, or solicit Strait-Up employees or contractors using information obtained through the
Platform. For clarity, nothing in this Agreement restricts your relationship with your own
followers, patrons, or personal clientele, your employment anywhere, or lawful competition using
public information or your own skills.
13. No Employment or Agency Relationship
Nothing in this Agreement creates an employment, agency, partnership, or joint-venture
relationship between you and Strait-Up. You are not authorized to act for Strait-Up, and Strait-Up
does not direct or control your work at any venue.
14. Alcohol Responsibility & Indemnity
Strait-Up does not sell, serve, furnish, or facilitate the sale of alcohol and is not a party to any service
of alcohol at any venue. Compliance with all alcohol-service laws — including prohibitions on service
to minors and visibly intoxicated persons — is solely the responsibility of the serving professional
and venue. You agree to defend, indemnify, and hold harmless Strait-Up and its officers, employees,
and agents from claims arising out of the service or consumption of alcohol at your venue or in
connection with your professional services.
15. Data Protection; Security; Third Parties; AI
You agree to protect customer information you access, comply with privacy laws, and use personal
data only for legitimate purposes. You must not attempt unauthorized access, probe vulnerabilities,
or introduce malicious code. Third-party services integrated with the Platform carry their own terms,
for which Strait-Up is not responsible. Strait-Up may use automated and AI tools to detect fraud and
moderate content; significant automated decisions may be reviewed by human moderators.
16. Suspension; Termination; Your Right to Leave
Strait-Up may suspend or terminate accounts for fraud, ratings manipulation, abuse, unlawful
conduct, or breach of this Agreement. You may terminate at any time by deleting your account, with
the deletion and data effects described in Section 10.
17. Disclaimers; Limitation of Liability; Indemnification
The Platform is provided “as is” and “as available,” without warranties of uninterrupted or error-free
operation or of the accuracy of user-generated content. To the maximum extent permitted by law,
Strait-Up is not liable for indirect, incidental, special, or consequential damages, lost profits, or
reputational harm, and its aggregate liability is capped at the greater of amounts you paid Strait-Up in the prior 12 months or $100. You will indemnify Strait-Up against claims arising from your
Content, your breach of this Agreement, or your violation of law or third-party rights. Strait-Up may
seek injunctive relief for misuse of confidential information or intellectual property.
18. Governing Law; Dispute Resolution
This Agreement is governed by the laws of the State of Connecticut without regard to conflicts rules.
The parties will first attempt to resolve any dispute informally for 30 days after written notice.
Except for small-claims matters and injunctive relief under Section 17, any dispute will be resolved
by binding individual arbitration administered by the American Arbitration Association under its
Consumer Arbitration Rules. Class actions and class arbitrations are waived; claims may be brought
only in an individual capacity. You may opt out of arbitration by written notice to us within 30 days
of first accepting this Agreement. If the class waiver is found unenforceable, the arbitration clause is
void.
19. Changes; Acceptance; General
Strait-Up may update this Agreement; material changes will be notified through the Platform or by
email with a new effective date, and continued use after the effective date constitutes acceptance.
Clicking “Accept” at account creation is your electronic signature. Joining the waitlist alone does not
bind you to this Agreement — waitlist signup is governed only by the Privacy Policy and your
consent to be contacted. If any provision is invalid, the remainder stands. Strait-Up may assign this
Agreement in connection with a merger or sale. This Agreement, together with incorporated policies
(including the Privacy Policy and Ratings Integrity Pledge), is the entire agreement.
